1. Acceptance of Terms

Welcome to PeekUp! By accessing or using our platform and services as a TNVS operator, you agree to comply with and be bound by the following Terms of Service ("ToS"). If you do not agree to these terms, please do not use our platform or services.

2. Definitions

In this ToS, the following definitions apply:

1. “PeekUp”," "we," "us," or "our" refers to “PeekUp Philippines Corporation” the provider of the platform and services.

2. "DRIVER PARTNERS" or "TNVS Operator" or "Operator" refers to individuals or entities that provide transportation services using our platform.

3. "Passenger" refers to individuals who request transportation services through our platform.

4. "Platform" refers to our digital marketplace that connects Operators and Passengers.

5. "Account" refers to the personal or business account created by Operators to use the platform and offer transportation services.

3. Eligibility

1. TNVS Operators must meet the eligibility requirements set forth by the relevant government authorities in the Philippines to provide transportation services. By using our platform, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

1. TNVS Operators are required to create an Account to use the platform and offer transportation services.

2. You agree to provide accurate, complete, and up-to-date information during the registration process.

3. You are responsible for maintaining the confidentiality of your Account login credentials and for all activities that occur under your Account.

5. Offering Transportation Services

1. Operators can offer transportation services to Passengers through the platform.

2. You agree to comply with all applicable laws, regulations, and requirements related to the provision of transportation services in the Philippines.

6. Vehicle Requirements

1. TNVS Operators must ensure that their vehicles meet the safety and quality standards set by the regulatory authorities in the Philippines.

2. You are responsible for maintaining the safety and cleanliness of your vehicle and for providing accurate vehicle information on the platform.

7. Payments and Pricing

1. Passengers will pay for rides based on the fare determined by the platform at the time of booking.

2. Pricing may include the base fare, time rate, distance rate, and additional fees.

3. Payments to Operators will be processed through the platform using specified payment methods.

8. Cancellation and Refunds

1. Passengers can cancel rides, and cancellation fees may apply in certain cases.

2. Refunds for canceled rides will be processed in accordance with our Refund Policy.

9. Privacy Policy

1. Our privacy practices are governed by our Privacy Policy, available on the platform.

2. Operators consent to the collection, use, and sharing of their personal information as described in the Privacy Policy.

10. Intellectual Property

1. All content and intellectual property in the platform belong to PeekUp.

2. Operators are granted a limited, non-exclusive, and non-transferable license to use the platform for offering transportation services.

11. Liability and Disclaimers

1. PeekUp shall exercise due diligence of a good father of a family. This responsibility shall be imposed upon PeekUp attaches from the time that the said TNVS is online and offers its services to passengers.

2. TNVS Driver shall exercise due diligence of a good father of a family. This responsibility shall be imposed upon the Driver from the time he/she is online and/or offers its services to passengers.

12. Indemnity

1. Operators agree to indemnify and hold PeekUp harmless from any claims, damages, or losses arising from their use of the platform or provision of transportation services.

13. Termination

1. PeekUp reserves the right to suspend or terminate Operators' access to the platform for violating these terms or any unlawful activity.

14. Governing Law and Jurisdiction

1. This agreement is governed by the laws of the Philippines.

2. Any disputes shall be resolved through arbitration in accordance with the rules of the Land Transportation Franchising and Regulatory Board (LTFRB).

15. Amendments

1. PeekUp may update these terms at any time.

2. Operators will be notified of changes, and continued use of the platform constitutes acceptance of the revised terms.

17. Settlement of PeekUp Service Fee: 

The PeekUp Service Fee for rides completed via digital payment is settled through an adjustment in the settlement processed at T+1.

• Cash Ride Fee Payment: In the event that a driver partner completes cash rides amounting to 1000 PHP in PeekUp Service Fee, the driver partner must remit the full 1000 PHP service fee to PeekUp in order to continue utilizing the service.

• Temporary Suspension for Non-Payment: Should the driver partner fail to remit the outstanding balance, they will be subject to temporary suspension until such time as the payment is made.

• Fee Payment for Digital Ride Inactivity: If the driver partner does not complete any digitally paid rides for a consecutive period of two weeks, they are required to pay the PeekUp Service Fee for the two-week period, regardless of whether this amount is less than 1000 PHP.

• Temporary Suspension for Inactivity: Failure to pay the PeekUp Service Fee for the aforementioned period will result in temporary suspension until the outstanding balance is settled.

• Amendments to Terms: The specified amounts and time periods are subject to change with a minimum notice period of two weeks.
